These Terms of Use ("Terms") govern your access to and use of leftlot.com and related services (the "Platform"), operated by LeftLot Pvt. Ltd. ("LeftLot", "we", "us"). By creating an account or using the Platform you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.
1. What LeftLot Is
LeftLot is only an online venue where businesses in India can list surplus or dead capital inventory for sale and where other businesses can view those listings. LeftLot is an intermediary. We only display listings that sellers post. We are not the buyer or the seller, we do not own, hold, store, inspect, test, certify, price, insure or ship any goods, and we are not a party to, and take no part in, any negotiation, contract, payment or delivery between users. Every deal is made directly and entirely between the buyer and the seller, and each of them alone is responsible for it.
2. Eligibility and Accounts
- The Platform is for businesses. You must be at least 18 years old and legally able to enter into a contract.
- If you register for a company, you confirm you are authorised to bind that company to these Terms.
- You must give accurate, current information, including your company name, GST number, PAN and address, and keep it up to date.
- We may verify your business (KYC) and may approve, refuse or suspend an account at our discretion.
- You are responsible for all activity under your account, including by team members you add, and for keeping your password confidential. Tell us immediately at the email in section 16 if you suspect misuse.
3. What You Can List
The Platform is only for capital and commercial business inventory, such as surplus or dead stock, raw materials, components, machinery and equipment, sold in business lots. Listings should have an approximate total lot value of about ₹1,00,000 or more. We may reject or remove listings below that level.
You may not list:
- Consumer, retail or personal goods, or single low-value items
- Counterfeit, stolen, misbranded, spurious or unlawfully imported goods
- Expired goods presented as fresh, or goods whose expiry, batch or condition you cannot correctly state
- Hazardous, explosive or otherwise restricted goods whose sale needs a licence you do not hold
- Anything the law prohibits you from selling, or that infringes another person's rights
Sellers of regulated goods, such as pharmaceuticals and chemicals, must hold every licence needed to sell them and must sell only to buyers permitted by law to purchase them.
4. Seller Responsibilities
- Listings must be accurate and complete: description, quantity, condition, batch and expiry details, price, location and photos.
- Photos must show the actual goods.
- You must own the goods, or have the right to sell them, free of any claim that would prevent the sale.
- You must honour offers you accept, deliver goods as described, issue correct tax invoices, and comply with GST and other laws.
- Keep listings current. Remove them or mark them sold once the goods are gone.
5. Buyer Responsibilities
- Only make offers you intend to honour.
- Do your own due diligence before you buy. Verify the seller, the seller's licences and GST registration, the seller's title to the goods, all documents (invoices, batch and test certificates, licences, permits), and the quantity, quality, condition, expiry and specifications of the goods. Inspect the goods yourself or through an inspector you appoint. Do not rely on the listing, photos, badges or anything else on the Platform.
- Pay the agreed price on the agreed terms, and comply with laws that apply to your purchase.
6. Listing Review
We may, but are not obliged to, review, edit, reject, pause or remove any listing or requirement at our discretion, for example if it breaks these Terms or the law, or looks inaccurate or misleading. We do not check listings for accuracy, legality, ownership or quality. That a listing appears on the Platform, or was approved for display, is not a statement or endorsement by LeftLot that it is accurate, lawful, genuine or of any quality, and we have no duty to detect problems with it.
7. Direct Deals, Payment and No Fees
- Buyers and sellers agree the price, payment, delivery, taxes and any warranty directly between themselves.
- LeftLot does not charge fees or commission for using the Platform, and we do not receive, hold or transfer money for any deal. We are not an escrow or payment service.
- LeftLot is not responsible for any part of a deal, including non-payment, non-delivery, delay, damage, shortage, quality, condition, expiry, authenticity, title, documents, taxes, or any dispute between users. Any claim you have about a deal is against the other user, not LeftLot.
- Put your deal in writing (purchase order or agreement and tax invoice) and check the other party before you pay or deliver.
- Contact details are shared between users only at the points the Platform provides, so that they can complete a deal. Do not use them for spam or for any purpose unrelated to the deal.
8. Verify Everything Yourself
Buyers and sellers must verify each other and the goods themselves. This includes identity, licences, GST and PAN details, title and ownership, invoices, test and batch certificates, inspection reports, expiry dates, quantities and condition. LeftLot does not verify or guarantee any of these things.
Any "Verified", "Inspected" or similar label, any document, report or photo shown or uploaded on the Platform, and any information collected from users during sign-up (such as KYC details) is provided for convenience only. It is not a certification, warranty or guarantee by LeftLot of the user, the goods or the deal, and it may be incomplete, out of date or wrong. Do not rely on it in place of your own checks.
9. Acceptable Use
You must not:
- Post false, misleading or fraudulent information, or impersonate anyone
- Manipulate prices, offers or reviews, or make offers you do not intend to complete
- Harass or abuse other users or our staff
- Scrape, copy or bulk-collect data from the Platform, or interfere with its operation or security
- Try to access accounts or data that are not yours
- Misuse the chat assistant, including attempts to make it act outside its purpose
- Use the Platform to break any law
10. Your Content
You keep ownership of the listings, photos, messages and other content you submit. You give LeftLot a free, non-exclusive right to store, display and use that content, in India and elsewhere, to run and promote the Platform. You confirm you have the right to give us that permission. The LeftLot name, logo and site design belong to us and may not be used without our written consent.
11. Disclaimers
The Platform is provided "as is" and "as available", without warranties of any kind, whether express or implied. We do not guarantee that any listing will sell, that any offer will be made or honoured, or that the Platform will be uninterrupted, secure or error-free. We do not verify any listing, user, document or statement on the Platform, and we are not responsible or liable for the goods, the users, or anything users post, say or do, on or off the Platform. You use the Platform and deal with other users entirely at your own risk.
12. Limitation of Liability and Indemnity
To the fullest extent permitted by law, LeftLot and its directors, employees and agents are not liable to you or anyone else for any loss or damage of any kind, whether direct or indirect, including loss of money, profit, goods, data or business, arising out of or connected with the Platform, any listing, any user, or any deal or dispute between users, whatever the cause. Where liability cannot be excluded by law, our total liability to you for all claims is limited to ₹10,000.
You agree to compensate LeftLot for any loss, claim or cost (including reasonable legal fees) arising from your listings, your deals, your content, or your breach of these Terms or of the law.
13. Suspension and Termination
We may suspend or close your account, or remove your content, at any time, especially if you break these Terms or the law. You can close your account at any time by writing to us. Sections that by their nature should continue, such as those on content, disclaimers, liability and governing law, continue after termination. Closing an account does not cancel deals you have already agreed.
14. Complaints and Disputes
If you have a complaint about the Platform, content on it, or a privacy matter, write to our Grievance Officer. We will acknowledge it promptly and aim to resolve it within one month. For a dispute with another user, try to resolve it directly with them first. We may, but need not, help by sharing information as the law allows.

15. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Subject to section 14, the courts at Ahmedabad, Gujarat have exclusive jurisdiction over any dispute arising from these Terms or your use of the Platform.
16. Changes and Contact
We may update these Terms from time to time. The "Last updated" date above shows the latest version. If we make significant changes we will tell you on the Platform or by email. Continued use after an update means you accept the updated Terms.
